1. Acceptance of Terms

By accessing the Wise Profit website at www.wiseprofit.buzz or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, you must not use our website or services. These terms constitute a legally binding agreement between you and Wise Profit, operated by 山西尾利商贸有限公司.

We may modify these terms at any time. Changes will be posted on our website with an updated date. Your continued use after changes indicates acceptance. Specific service engagements may be governed by additional terms in separate service agreements.

These terms apply to all visitors, users, and clients. Additional conditions in signed service agreements or statements of work take precedence for the specific subject matter of that engagement.

2. Our Services

Wise Profit provides professional computer systems design, IT integration, cybersecurity, software engineering, data analytics, and technical consulting services. Each engagement is governed by a written service agreement specifying scope, deliverables, timeline, and fees.

Service agreements supplement these general terms. In case of conflict, the service agreement prevails for that engagement. We reserve the right to refuse service for any lawful reason. While we use commercially reasonable efforts, we do not guarantee uninterrupted, error-free, or perfectly secure service delivery.

3. Acceptable Website Use

You agree to use our website lawfully and without infringing others' rights. Prohibited conduct includes: transmitting harmful content, attempting unauthorized access, introducing malware, conducting data scraping, disrupting services, or impersonating Wise Profit representatives. We reserve the right to monitor usage and suspend access for violations.

4. Intellectual Property

4.1 Website Content

All content on the Wise Profit website, including text, graphics, logos, icons, code, and software, is owned by Wise Profit, 山西尾利商贸有限公司, or its licensors, and is protected by applicable intellectual property laws.

4.2 Deliverables Ownership

Upon full payment, ownership of specific deliverables transfers to the client per the service agreement. Wise Profit retains rights to generalized knowledge and methodologies developed during service delivery.

4.3 Limited License

You receive a limited, non-exclusive, non-transferable license to view website content for personal or internal business purposes. Reproduction, distribution, modification, or public display requires our prior written consent.

5. Confidentiality

Wise Profit maintains strict confidentiality of client information including business strategies, technical specifications, proprietary systems, and financial data. We use such information solely for delivering contracted services and do not disclose it to third parties without client consent, except as required by law. These obligations survive termination of any agreement.

Confidential information excludes publicly available data, information rightfully possessed before disclosure, or independently developed information.

6. Disclaimer of Warranties

THE WISE PROFIT WEBSITE AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE SERVICE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SYSTEMS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS.

Some jurisdictions do not allow certain warranty exclusions. In such cases, warranties are limited to the minimum extent permitted.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISE PROFIT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OUR WEBSITE OR SERVICES, REGARDLESS OF THE LEGAL THEORY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE PRECEDING TWELVE MONTHS, OR ONE HUNDRED US DOLLARS, WHICHEVER IS LESS.

8. Indemnification

You agree to indemnify and hold Wise Profit harmless from claims arising from your use of our website or services in violation of these terms, your violation of applicable law, or your infringement of third-party rights. We reserve the right to assume defense of any such claim at your expense.

9. Governing Law and Disputes

9.1 Governing Law

These terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Mandatory consumer protections in your jurisdiction remain unaffected.

9.2 Dispute Resolution

Disputes shall first be resolved through good-faith negotiations. If unresolved within 30 days of written notice, disputes shall be submitted to binding arbitration in Taiyuan, Shanxi Province, China, in accordance with Chinese arbitration rules.

9.3 Jurisdiction

The parties submit to the jurisdiction of courts in Taiyuan for enforcement of arbitration awards. Either party may seek injunctive relief in any competent court to protect intellectual property or confidential information.

10. General Provisions

10.1 Entire Agreement

These terms, together with any applicable service agreement, constitute the entire agreement between the parties.

10.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

10.3 Waiver

Failure to enforce any provision does not constitute a waiver. No waiver is effective unless in writing.

10.4 Assignment

You may not assign rights under these terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.

10.5 Force Majeure

We are not liable for delays caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, government actions, pandemics, or infrastructure failures.

10.6 Independent Contractor

Nothing creates a partnership, joint venture, agency, or employment relationship. Each party is an independent contractor.

10.7 Notices

Notices shall be in writing and sent to the addresses in the applicable service agreement or to our contact information below. Notices are effective when received by email or three business days after mailing.
